These terms govern sales by United Distribution Group LLC unless a signed agreement says otherwise.
Quotations are valid for the period stated on the quote, and for thirty (30) days where no period is stated. On goods sourced to order, the price may change if the supplier's price or the freight cost changes before the order is confirmed. If that happens we requote and you decide.
All sales are prepaid in full before shipment, by wire transfer, ACH or card. We do not offer open account terms at this time. Any card processing fee is quoted in advance rather than added afterwards.
Delivery terms are F.O.B. shipping point for destinations within the United States and EXW (Incoterms 2020) for destinations outside the United States, unless the quotation states otherwise. Title and risk of loss pass to the buyer on delivery to the carrier.
Inspect goods on arrival. Notify us in writing of shortage, damage or non-conformity within five (5) business days of receipt. Note visible damage on the bill of lading or carrier delivery record at the time of delivery: a claim without that notation is hard to win against a carrier.
Orders for goods sourced to order cannot be cancelled once the supplier order is placed. Orders for held stock may be cancelled before shipment. A cancelled order that has already been packed carries a restocking charge, stated at the time.
On international shipments the buyer is the importer of record unless agreed otherwise in writing. Duties, taxes and customs charges at destination are the buyer's responsibility, and are quoted separately where we can estimate them. We are a distributor, not a licensed customs broker, and we do not file customs entries.
Buyer agrees not to export, re-export or transfer any goods in violation of United States export control or sanctions law, including to any restricted party or embargoed destination.
Our liability on any order is limited to the amount paid for the goods in question. We are not liable for indirect or consequential loss, including lost profit or downtime.
These terms are governed by the laws of the State of Wyoming.
